Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, software, and related services operated by DTLA Professional Services, LLC ("we," "us," or "our"), including PayXT, Receipt Organizer XT, and IntentXT (collectively, the "Service" or "Services").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy (including disclosures for receipt OCR, Plaid bank linking, transactional account emails via Twilio SendGrid, and account deletion). If you do not agree to these Terms, you may not access or use the Service.

1. Description of Service

PayXT is a software application designed to help independent contractors and businesses generate secure payment links and calculate transaction fees. PayXT is strictly a software tool, not a bank, payment gateway, or money transmitter. We do not process payments, hold funds, or route money through our own financial accounts. All transactions are processed directly by third-party gateways (e.g., Stripe, PayPal) using the API keys or connected merchant accounts you provide.

Receipt Organizer XT (available at scan.payxt.app and related apps) is a PayXT product that helps you scan or upload receipts, extract data via cloud OCR, connect financial accounts through Plaid, match receipts to bank transactions, triage Business vs Personal expenses, and export Schedule C–ready ledgers. Receipt Organizer XT is a productivity tool, not a bank, money transmitter, accountant, or tax-preparation firm. Bank login credentials are handled by Plaid and are not stored on our servers. OCR and matching suggestions may be imperfect; you are responsible for verifying extracted data and tax classifications.

IntentXT is a B2B social intent lead-finder product delivered as a Chrome extension and web dashboard. IntentXT helps users configure keywords, monitor publicly available conversations on supported social platforms (such as Reddit, LinkedIn, and Facebook), flag leads into a pipeline, and generate AI-assisted reply drafts from a company profile you provide. IntentXT is a software tool for lead capture and drafting assistance; it is not a full CRM, not a messaging bot that auto-posts on your behalf, and not affiliated with Reddit, LinkedIn, Meta/Facebook, or other third-party platforms.

2. Accounts, Licenses, and Access

You must provide accurate account information and keep your credentials confidential. You are responsible for all activity under your account.

• PayXT / Receipt Organizer XT: Access may be provided via free trial, Free plan limits, Pro subscription, or other plans described on payxt.app or scan.payxt.app.
• IntentXT: Access may be provided via free tier, paid subscription, promotional deal codes, or lifetime licenses purchased through us or authorized marketplaces (e.g., Payhip). Lifetime or deal entitlements apply only to the features included in the purchased entitlement and do not guarantee perpetual availability of every future feature we may launch as a separate optional add-on.
• License/deal codes are generally single-use, non-transferable except as we expressly allow, and may be revoked if obtained fraudulently or used in violation of these Terms.
• We may update IntentXT software from time to time. Where we provide update packages or automatic updates for features in your entitlement, continued use constitutes acceptance of the updated software under these Terms.

3. User Responsibilities

3.1 PayXT — API keys and payments

To use certain PayXT features, you must provide valid API keys or connect third-party payment accounts (Stripe and/or PayPal). You are solely responsible for:

• Maintaining the confidentiality and security of your API keys and PayXT account credentials.
• Ensuring that your use of third-party payment gateways complies with their respective Terms of Service and Acceptable Use Policies.
• Any and all activities that occur under your account, including refunds, chargebacks, and customer disputes.

3.2 Receipt Organizer XT — receipts, OCR, and bank linking

When using Receipt Organizer XT, you are solely responsible for:

• Uploading only receipts and images you are authorized to process, and ensuring content is lawful.
• Reviewing OCR results, bank matches, Business/Personal triage, and tax categories before relying on exports for bookkeeping or tax filing.
• Authorizing financial account connections only through Plaid Link for accounts you are entitled to link, and complying with Plaid’s and your financial institution’s terms.
• Understanding that we receive transaction data (not your bank password) after you authorize Plaid, and that Plaid access tokens are stored server-side for syncing as described in our Privacy Policy.
• Canceling Stripe Pro memberships you no longer want, and using in-app account deletion (Settings → Billing → Danger zone) or contacting support when you want your data wiped.

3.3 IntentXT — lawful social outreach

When using IntentXT, you are solely responsible for:

• Complying with all applicable laws and the terms, policies, and community guidelines of third-party platforms (including Reddit, LinkedIn, and Facebook/Meta).
• Using IntentXT only on content and groups you are authorized to access, and only for legitimate business prospecting and customer support purposes.
• Reviewing all AI-generated drafts before posting; IntentXT does not automatically post replies, and you remain fully responsible for any message you send.
• Not using IntentXT to spam, harass, scrape in a prohibited manner, circumvent platform rate limits/security, or misrepresent your identity or affiliation.
• Safeguarding your extension package, account, and license codes, and not redistributing paid software except as allowed by your purchase terms.

4. Fees, Taxes, Refunds, and Marketplace Purchases

While PayXT and Receipt Organizer XT provide tools to help calculate estimated taxes, categorize expenses, or gross-up processing fees, you are ultimately responsible for determining, collecting, reporting, and remitting the correct taxes to the appropriate tax authorities. You acknowledge that we are not responsible for calculating or remitting taxes on your behalf. You are also responsible for any fees charged by Stripe, PayPal, Plaid’s data partners (if any pass-through fees apply via your institution), or your bank for processing transactions.

For IntentXT purchases made through third-party marketplaces, billing, chargebacks, and refunds are primarily governed by that marketplace’s buyer policies, in addition to any rights required by applicable law. We may assist with access/redeem support after a verified purchase.

5. Intellectual Property

The Services, including software, branding, documentation, and related materials for PayXT, Receipt Organizer XT, and IntentXT, are owned by DTLA Professional Services, LLC or its licensors and are protected by intellectual property laws. Except for the limited, non-exclusive, non-transferable right to use the Service as permitted under your plan or license, no rights are granted to you. You may not copy, modify, reverse engineer (except where prohibited by law), resell, or create derivative works of the Services without our prior written consent.

6. Prohibited Uses

You agree not to use the Service:

• For any unlawful purpose, or in violation of any local, state, national, or international law.
• To facilitate the sale of illegal goods, restricted services, or any items prohibited by your payment gateway provider (PayXT).
• To spam, harass, deceive, or violate third-party platform rules when using IntentXT.
• To attempt to bypass, exploit, disrupt, overload, or reverse engineer the security or access controls of the PayXT, Receipt Organizer XT, or IntentXT platforms.
• To share, sell, or publicly post valid license/deal codes, or to use codes obtained without authorization.
• To misuse Plaid connections, scrape or resell bank data obtained through the Service, or submit receipt images containing others’ personal data without a lawful basis.

7. Disclaimer of Warranties

THE SERVICE (INCLUDING PAYXT, RECEIPT ORGANIZER XT, AND INTENTXT) IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY OF OCR EXTRACTION, BANK MATCHING, TAX CATEGORIES, OR LEDGER EXPORTS; ANY PARTICULAR NUMBER OF LEADS, CONVERSIONS, OR BUSINESS RESULTS FROM INTENTXT; OR THAT THIRD-PARTY PLATFORMS, BANKS, OR PLAID WILL REMAIN COMPATIBLE OR ACCESSIBLE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DTLA PROFESSIONAL SERVICES, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR FUNDS INCURRED BY YOU OR ANY THIRD PARTY. WE ARE NOT LIABLE FOR ANY HELD FUNDS, ACCOUNT SUSPENSIONS, OR CHARGEBACKS ISSUED BY STRIPE, PAYPAL, OR ANY OTHER PAYMENT GATEWAY. WE ARE NOT LIABLE FOR BANK OR PLAID CONNECTION FAILURES, INCORRECT OCR OR MATCH SUGGESTIONS, OR TAX FILING OUTCOMES ARISING FROM YOUR USE OF RECEIPT ORGANIZER XT. WE ARE NOT LIABLE FOR ACCOUNT RESTRICTIONS, BANS, OR ENFORCEMENT ACTIONS BY SOCIAL PLATFORMS ARISING FROM YOUR USE OF INTENTXT OR YOUR OWN MESSAGING.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR CUMULATIVE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR THE SERVICE DURING THE THREE (3) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING, OR FIFTY U.S. DOLLARS ($50.00), WHICHEVER IS GREATER. FOR ONE-TIME LIFETIME PURCHASES, THE FOREGOING CAP SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THAT LIFETIME LICENSE (OR $50.00, WHICHEVER IS GREATER), EXCEPT WHERE PROHIBITED BY LAW.

9. Indemnification

You agree to defend, indemnify, and hold harmless DTLA Professional Services, LLC, its affiliates, remote personnel, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service (including PayXT, Receipt Organizer XT, and IntentXT), your violation of these Terms, your violation of Stripe, PayPal, Plaid, marketplace, or social-platform policies, or any dispute between you and your clients, prospects, financial institutions, or third parties regarding services rendered, invoices generated, expense categorization, tax filings, or messages you send.

10. Termination and Account Deletion

We reserve the right to suspend or terminate your access to the Service at our sole discretion, at any time, and without notice or liability, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Service ceases. Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive termination.

You may delete a Receipt Organizer XT account from Settings → Billing → Danger zone (password confirmation required for email/password accounts), which wipes associated receipts, bank matches, secrets, and authentication as described in the Privacy Policy. You may also request deletion via payxt.app/contact or support-24-7@payxt.app.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Los Angeles County, California.
