Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PayXT website, mobile application, and related services (collectively, the "Service"). The Service is operated by DTLA Professional Services, LLC ("we," "us," or "our").
By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
1. Description of Service
PayXT is a software application designed to help independent contractors and businesses generate secure payment links and calculate transaction fees. PayXT is strictly a software tool, not a bank, payment gateway, or money transmitter. We do not process payments, hold funds, or route money through our own financial accounts. All transactions are processed directly by third-party gateways (e.g., Stripe, PayPal) using the API keys you provide.
2. User Responsibilities & API Keys
To use the Service, you must provide valid API keys for your third-party payment accounts (Stripe and/or PayPal). You are solely responsible for:
- Maintaining the confidentiality and security of your API keys and PayXT account credentials.
- Ensuring that your use of third-party payment gateways complies with their respective Terms of Service and Acceptable Use Policies.
- Any and all activities that occur under your account, including refunds, chargebacks, and customer disputes.
3. Fees, Taxes, and Compliance
While PayXT provides tools to help calculate estimated taxes and gross-up processing fees, you are ultimately responsible for determining, collecting, reporting, and remitting the correct taxes to the appropriate tax authorities. You acknowledge that we are not responsible for calculating or remitting taxes on your behalf. You are also responsible for any fees charged by Stripe, PayPal, or your bank for processing transactions.
4. Prohibited Uses
You agree not to use the Service:
- For any unlawful purpose, or in violation of any local, state, national, or international law.
- To facilitate the sale of illegal goods, restricted services, or any items prohibited by your payment gateway provider.
- To attempt to bypass, exploit, or disrupt the security features of the PayXT platform.
5. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DTLA PROFESSIONAL SERVICES, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR FUNDS INCURRED BY YOU OR ANY THIRD PARTY. WE ARE NOT LIABLE FOR ANY HELD FUNDS, ACCOUNT SUSPENSIONS, OR CHARGEBACKS ISSUED BY STRIPE, PAYPAL, OR ANY OTHER PAYMENT GATEWAY.
NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR CUMULATIVE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US FOR THE SERVICE DURING THE THREE (3) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING, OR FIFTY U.S. DOLLARS ($50.00), WHICHEVER IS GREATER.
7. Termination
We reserve the right to suspend or terminate your access to the Service at our sole discretion, at any time, and without notice or liability, for any reason, including if we believe you have violated these Terms.
You agree to defend, indemnify, and hold harmless DTLA Professional Services, LLC, its affiliates, remote personnel, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, your violation of Stripe or PayPal's Acceptable Use Policies, or any dispute between you and your clients regarding services rendered or invoices generated.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Los Angeles County, California.
